1. Acceptance of Terms

By accessing the NovexThemes website, downloading, installing, or using any of our WordPress themes or related digital products, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree to these terms, please do not use our products or services.

2. Digital Products

All products sold by NovexThemes are digital goods – specifically, WordPress themes delivered electronically. Upon successful payment, your license key and download link are issued immediately and automatically. By completing your purchase, you expressly acknowledge and agree that:

• You are purchasing a digital product that is delivered instantly upon payment.
• Digital delivery begins immediately after your payment is confirmed.
• You waive any right of withdrawal or cooling-off period applicable to physical goods.

3. License Agreement

3.1 Single Site License

Unless otherwise stated, each theme purchase grants you a single-site license, which means:

• You may use the theme on one (1) website or domain only.
• The license is non-exclusive and non-transferable.
• You may not sublicense, resell, or redistribute the theme files.

3.2 Extended / Developer License

If you purchase an extended or developer license, you may use the theme on multiple websites as specified in the license tier. Extended licenses do not permit resale of the theme itself as a standalone product.

3.3 Permitted Uses

Under a valid license, you are permitted to:

• Install and activate the theme on the licensed number of websites.
• Modify the theme files for your own use or your client’s use.
• Use the theme for personal, commercial, or client projects.

3.4 Prohibited Uses

You are strictly prohibited from:

• Redistributing, reselling, leasing, or sublicensing the theme to any third party.
• Making the theme available for free download on any other platform.
• Using the theme to create a product that competes with NovexThemes offerings.
• Removing or altering any copyright notices or credits embedded in the theme files.

4. Purchases and Payments

All purchases made through the NovexThemes website are subject to the following conditions:

• Prices are listed in USD and are subject to change without prior notice.
• Payment must be completed in full before a license key and download link are issued.
• NovexThemes reserves the right to refuse or cancel any order at its sole discretion.
• You are responsible for any applicable taxes or duties imposed in your jurisdiction.

5. No Refund Policy

All sales are final. Because NovexThemes sells digital products that are delivered immediately and automatically upon payment, we do not offer refunds, exchanges, or cancellations under any circumstances.

We strongly encourage you to review the theme demo, documentation, and feature list thoroughly before completing your purchase. If you have any pre-sale questions, please contact our support team before buying.

6. Support and Updates

6.1 Theme Support

Each theme purchase includes access to our support services for a period of six (6) months from the date of purchase. Support covers:

• Bugs and defects in the theme as shipped.
• Questions about the theme’s built-in features and options.
• Guidance on using the theme as documented.

Support does not cover customisations beyond the theme’s original design, third-party plugin conflicts, or issues arising from modifications made to the theme files.

6.2 Theme Updates

NovexThemes provides theme updates for compatibility with new versions of WordPress and to address security vulnerabilities. Updates are provided for the duration of your active support period. After the support period expires, you may continue using the theme, but you will not receive further updates unless you renew your support subscription.

7. Security and Website Hacking Disclaimer

7.1 No Security Guarantee

NovexThemes develops its WordPress themes following best coding practices and industry security standards. However, we do not guarantee that our themes will make your website immune to hacking, unauthorised access, malware injection, data breaches, or any other form of cyberattack. The security of your website depends on many factors outside our control, including but not limited to your hosting environment, server configuration, WordPress core version, installed plugins, and password strength.

7.2 No Liability for Hacked Websites

NovexThemes shall not be held responsible or liable for any damages, losses, or consequences arising from your website being hacked, compromised, defaced, or otherwise attacked by malicious third parties. This includes, but is not limited to:

• Loss of data, files, databases, or website content.
• Financial losses resulting from a security breach or cyberattack.
• Damage to your reputation or business caused by a compromised website.
• Unauthorised access to user data collected through your website.
• Downtime, service interruptions, or loss of revenue due to a hack.
• Malware or malicious code injected into your website by third parties.

7.3 Your Responsibility

You are solely responsible for maintaining the security of your website. We strongly recommend the following security practices:

• Keep WordPress core, themes, and all plugins updated to their latest versions at all times.
• Use strong, unique passwords for your WordPress admin, hosting control panel, and database.
• Install a reputable WordPress security plugin (e.g., Wordfence, Sucuri, or iThemes Security).

• Choose a reputable, security-conscious hosting provider.
• Take regular backups of your website files and database and store them securely offsite.

NovexThemes is not a security service provider. If your website has been hacked or compromised, please contact your hosting provider or a professional WordPress security specialist immediately.

8. Intellectual Property

All WordPress themes, design elements, graphics, and documentation provided by NovexThemes are the intellectual property of NovexThemes and are protected by copyright law. Purchasing a license grants you the right to use the theme under the terms described herein, but does not transfer ownership of the intellectual property to you.

9. Image and Media Credits

Demo images used in NovexThemes theme previews and screenshots are sourced exclusively from CC0-licensed (Creative Commons Zero) image libraries. These images are free to use for any purpose, including commercial use, with no attribution required. The sources we use include:

10. Third-Party Resources

Our themes may include or be compatible with third-party resources such as plugins, fonts, and libraries. These resources are subject to their own respective licenses. NovexThemes makes no warranties regarding third-party resources and is not responsible for any issues arising from their use. It is your responsibility to ensure compliance with all applicable third-party licenses.

11. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with applicable Law. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
